Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of spikit.dev, the Spikit waitlist, and the Spikit desktop application (collectively, the "Service"), provided by Nacho Poletti ("Spikit", "we", "us"). By using the Service, you agree to these Terms.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. By using Spikit, you represent that you meet this requirement.

2. The Service

Spikit is a native Windows voice dictation tool. Audio you record is sent to third-party speech-to-text providers (currently OpenAI Whisper) for transcription and returned to your device. We may add, modify, or discontinue features over time.

3. Accounts

You are responsible for keeping your account credentials secure and for all activity under your account. Notify us at hello@spikit.dev if you suspect unauthorized access.

4. Subscriptions, trial and payment

  • Spikit offers a 14-day free trial. No credit card is required to start the trial.
  • After the trial, paid plans are available as Pro Monthly or Pro Annual at the prices listed on spikit.dev. Prices are shown exclusive of any applicable taxes.
  • Your subscription renews automatically at the end of each billing period until you cancel.
  • You can cancel anytime from Settings → Plan → Manage subscription. Cancellation takes effect at the end of the current billing period; you keep access until then.
  • Refunds are governed by our Refund Policy.
  • We may change the price of paid plans. For existing subscribers, we will notify you by email at least 30 days before any price change takes effect on your next renewal.

5. BYOK access (by invitation)

Spikit may grant Bring Your Own Key (BYOK) access by invitation. BYOK users connect their own OpenAI API key and process audio directly with OpenAI's API. Spikit does not charge a fee for BYOK access. BYOK users are solely responsible for their own OpenAI account, billing, and usage limits. We may revoke BYOK access at our discretion, with reasonable notice when possible.

6. Promotional and Creator referral codes

We may offer promotional codes, including codes generated by approved creators in our referral program. Unless stated otherwise, codes apply only to the first paid billing period of a subscription. Codes cannot be combined unless explicitly indicated. We reserve the right to revoke or invalidate codes that contain offensive content, are used fraudulently, are shared in violation of program rules, or otherwise breach these Terms.

7. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party rights.
  • Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.
  • Resell, sublicense, or repackage the Service without our written consent.
  • Use the Service to transcribe content you do not have the right to record or process.
  • Attempt to disrupt, overload, or compromise the Service.

8. Your content

You retain ownership of the audio you record and the transcriptions you produce with the Service. You grant us a limited license to process your audio solely to provide the transcription feature (including transmission to our speech-to-text provider).

9. Intellectual property

Spikit, including its software, branding, and content, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights in our trademarks or branding.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that transcriptions will be perfectly accurate.

11. Limitation of liability

To the maximum extent permitted by law, Spikit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from your use of the Service. Our total liability for any claim arising out of or relating to these Terms will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if we are required to do so by law. Provisions that by their nature should survive termination will survive.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of Argentina, without regard to its conflict-of-law principles. Any disputes will be resolved by the competent courts of the City of Buenos Aires, unless mandatory consumer protection laws in your country of residence provide otherwise.
